I. General provisions

Article 1

Moldova Red Cross Society (founded in 1924) represents a juridical person of public right, autonomous, non-governmental and apolitical. It is organized and functions based on Moldova Red Cross Law Nr. 139-XV from 10.05.2001, own Statutes and according to Geneva Conventions of 1949, regarding the protection of war victims and its Additional Protocols of 1977 to which the Republic of Moldova ratified, National Legislation and International Red Cross Red Crescent Movement Statutes. Moldova Red Cross Society acts according to the Fundamental Principles of the International Movement of Red Cross Red Crescent Societies:

Humanity

Born out of the concern to assist, with no discrimination, the wounded on the battlefield, the International Movement of Red Cross Red Crescent Societies, under its national and international aspects, pledges to prevent and alleviate in all the circumstances the sufferings of the people. Its aim is to protect their lives and health and to ensure the respect of the persons. It promotes mutual understanding, collaboration and peace between nations.

Impartiality

The Movement makes no difference between nationality, race, religion, social condition and political opinions. Its activity is dedicated to help individuals according to their needs and to assist people during emergency situations.

Neutrality

In order to maintain the confidence of the people, the Movement abstains from hostilities and political, racial, religious and ideological controversies.

Independence

The Movement is independent. Being auxiliary to public authorities in their humanitarian activities and subject to the laws of their countries, National Societies must have an autonomy that could always permit them to act according to the Fundamental Principles of the Movement.

Voluntary Service

The Movement is an institution of voluntary and disinterested assistance.

Unity

Each country may have only one Red Cross or Red Crescent Society. It must be open to everybody and must extend its humanitarian actions on the whole territory of the country.

Universality

The International Movement of Red Cross and Red Crescent, within which all the National Societies have equal rights and the duty to help each other, is universal.

Article 2

Official name of the organization is Moldova Red Cross Society or the initial letters MRCS, at the same time, Moldova Red Cross, being permitted.

Article 3

Legal Statutes of the National Society

Moldova Red Cross Society is officially recognized by the Decree nr. 234 of 1 December 1992 of the President of the Republic of Moldova as a society of voluntary assistance, auxiliary to public authorities in the humanitarian field, according to the Geneva Conventions of 1949 regarding the war victims, as the only Society of Red Cross, which unfolds its activity on the territory of the Republic of Moldova.

Article 4

The National Society maintains its autonomy versus public authorities, which permits it to act, irrespective of the circumstances according to the Fundamental Principles of the Movement.

Its existence is unlimited.

Article 5

Moldova Red Cross Society has been recognized by the International Committee of Red Cross as full member of the International Red Cross and Red Crescent Movement on 24th of October, 2001. The National Society became member of the International Federation of Red Cross and Red Crescent Societies in November, 2001. Present Statutes guarantees the observance of decisions and resolutions of statutory bodies of the International Red Cross Red Crescent Movement.

Article 6 The emblem

As a heraldic sign, Moldova Red Cross Society represents a cross (five equal squares of red vermion color) placed on a white background.

Moldova Red Cross Society will use the emblem for indicative and protection purposes in times of peace and in wartime, according to Geneva Conventions of 1949 and the Additional Protocols of 1977, the Law of the Republic of Moldova nr. 673-XIV of 12.11.1999 "Regarding the use and protection of the Red Cross emblem" and the Regulations of 1991 on the use of the emblems adopted at the International Conference, whose stipulations are compulsory for all the National Societies.

Article 7

Moldova Red Cross Society operates in its own premises and other spaces that are made available by central or local authorities, as appropriate, to conduct statutory activity.

Article 8

The headquarters of Moldova Red Cross Society’s own building is situated in Chisinau, str. Gh. Asachi 67 A, 7th floor.

Article 9 Agreements and contracts conclusion

Agreements and contracts signed between Moldova Red Cross Society and other organizations, departments and, especially, bodies of public power, are concluded in written and cannot stipulate conditions, which would oblige the National Society to act against the Fundamental Principles.

Article 10 Amendments to the Statutes

The proposals for amendments must be presented for consultation and approval to the Joint Commission of the International Committee of Red Cross and the International Federation of Red Cross Red Crescent Societies, before being submitted to the General Assembly of Moldova Red Cross Society for adoption.

II.General objectives and main attributions

Article 11

The main object of the Moldova Red Cross Society's activity is to prevent and alleviate human sufferings with total impartiality, without making any discrimination between the nationalities, sex, religious beliefs, language, age, military, social or political affiliation.

Article 12

In order to fulfill its humanitarian actions, Moldova Red Cross Society has the following main attributions:

a. to act in case of an armed conflict; to be prepared to act during peace as an auxiliary organization of the public authorities, in all the fields covered by the Geneva Conventions of 1949 and to the benefit of all in suffering;

b. to contribute to the amelioration of health estate, prevention of sicknesses and alleviation the human suffering;

c. to unfold the tracing activity in the country and out of its borders in order to restore relations and unite the members of separated families as a result of wars, armed conflicts, political instability and natural calamities according to the Geneva Conventions stipulations, Additional Protocols and the Resolutions of the International Red Cross Red Crescent Conferences;

d. to participate in the promotion of disinterested blood donation among population;

e. to organize the service of first aid for the disaster victims regardless of their cause and nature within the national plan of disaster relief;

f. to contribute to first aid training of air and land personnel, public transport operators, future drivers and other professional categories;

g. to receive, store and distribute the humanitarian aid received from the International Federation of Red Cross Red Crescent Societies, International Committee of Red Cross, other Red Cross Societies (Red Crescent), as well as from other local and foreign donors;

h. to form and keep a stock of aid for emergency situations;

i. to organize and participate in international actions of victims assistance regardless of their cause and nature;

j. to recruit, train and denominate the necessary staff for its mission fulfillment;

k. to support and encourage youth involvement in its activities;

l. to provide medico-social assistance to elder people, invalid children, invalids grade 1 within Red Cross medico-social centers and, at home, through visiting nurses’ service and volunteer doctors;

m. to offer assistance to the refugees and internally displaced persons in collaboration with the International Committee of Red Cross, International Federation of Red Cross Red Crescent Societies, with other international organizations, state bodies and public administration bodies;

n. to collaborate with the public administration bodies with a view to promote the respect for the International Humanitarian Law and the protection of Red Cross Red Crescent Emblem;

o. to promote the Fundamental Principles of the Movement and those of the International Humanitarian Law in order to develop humanitarian ideals among population and, especially, among children and youth;

p. to conclude collaboration agreements and elaborate programs of common actions with other societies or organizations, which unfold humanitarian actions, with ministries and public authorities in order to fulfill its humanitarian mission;

q. to support and initiate social programs to the benefit of the disadvantaged persons through fund-raising activities and other actions of assistance;

r. to carry out economical, production and other entrepreneurial activities, the benefit of which will exclusively be used for statutory objectives and purposes.

III. Members of Moldova Red Cross Society

Article 13

Moldova Red Cross Society is accessible to all the citizens of the country, with no discrimination between the nationality, race, sex, language, religious beliefs and opinions.

Article 14

The categories of Moldova Red Cross Society's members are: active member, member paying duties, collective member and member of honor.

- The active member is any person who knows and wants to act in accordance with the Statutes of Moldova Red Cross Society and the Fundamental Principles and is voluntarily rendering his service or makes donations and is registered as such at one of the local committee.

- The member who pays duties is the person who submits an annual contribution whose value is set by the National Committee of Red Cross.

- The collective member – people who form a group within an institution and pay annually a certain amount of money.

- The member of honor is the person invested with this title by the National Committee of the Red Cross Society, as in respect for his special merits in the activities of Red Cross.

Article 15

Rights of the members of Moldova Red Cross Society are:

a. to elect and to be elected in the governing bodies of the Red Cross at all levels;

b. to participate in the decision making process and freely express their opinions regarding all the problems related to the National Society's activity;

c. to be denominated as representatives of Moldova Red Cross for internal and international activities;

d. to benefit from training activities and other events organized by the Red Cross;

e. to receive the title of Member of Honor, be distinguished with medals awarded by the International Red Cross organisms for exceptional merits, according to the regulations for granting awards;

f. to leave Red Cross without any restriction;

g. each member, including the collective member, has one vote.

Article 16

Obligations of Moldova Red Cross members are:

a. to be a member of one of the Red Cross organizations, to participate in its activities and to contribute to the development of Moldova Red Cross Society in all its aspects;

b. to know, respect and promote the Fundamental Principles of the International Movement of Red Cross and Red Crescent;

c. to recognize and obey the regulations of the present Statutes;

d. to pay the annual member subscription;

e. to not allow and not engage in actions that may affect the integrity and prestige of Moldova Red Cross Society.

Article 17

Moldova Red Cross Society's members lose this position in the following cases: resignation or exclusion

Resignation

Any member of Moldova Red Cross Society may resign. The demand for resignation, submitted in written form, is addressed to the branch committee where the person is registered as member. In case of resignation, the membership is lost after the receipt by the branch of the written resignation.

Exclusion

A member of Moldova Red Cross Society may be excluded in the following cases:

a. if he caused material or moral damages to the National Society or if his actions compromise the activity of Moldova Red Cross Society;

b. if he violated the Fundamental Principles, Moldova Red Cross Statutes or decisions of governing bodies of the National Society;

c. if , through his actions, he hinders the realization of Moldova Red Cross objectives and tasks;

d. if he does not pay the annual membership fee.

The decision of exclusion is taken by the branch committee where the relevant member is registered. Exclusion decision may be appealed within 6 months. The appeal shall be reviewed by the National Committee or the Committee elected by the General Assembly whose decision is final.

IV. Organizational structure of Moldova Red Cross Society

Article 18

Moldova Red Cross Society is organized according to the territorial principle. It consists of:

a. Red Cross branches of territorial administrative units

b. Red Cross branches of Chisinau municipality

Article 19

The respective branch committees authorize the creation, under their subordination, on a voluntary basis, of the Red Cross primary organizations within different educational and sanitary establishments, quarters, commercial societies, state and private institutions.

Article 20

The territorial organizations are subordinated to the central bodies. They comprise all the members of the Red Cross from the respective territories.

Article 21

The National Committee coordinates the Red Cross branches and enjoys the autonomy of functioning related to:

a. election of their own governing bodies;

b. the conception, organization and management of their own activities, on the Moldova Red Cross Society's programs basis;

c. the organization and management of activities to the benefit of the victims of natural disasters or socially disadvantaged persons;

d. establishment, constitution and execution of the personal budget of incomes and expenditures after the approval of the Presidium of the Moldova Red Cross Society's National Committee;

e. occasional assistance for the disadvantaged persons: lonely elderly, orphans, disabled etc.;

f. initiation of contracts with the similar structures of other National Societies of Red Cross after the approval of the Presidium or President of Moldova Red Cross Society;

g. cooperation with other territorial structures.

Article 22

Red Cross branches have the following obligations:

a. to respect the Statutes, Fundamental and structural Principles, country Constitution and the legislation in force;

b. to maintain the prestige and heritage of Moldova Red Cross Society, as well as its emblem;

c. to fulfill exactly and timely decisions taken by the central governing bodies and to abide by the exclusive powers of central leadership. In case of non-compliance, territorial structures can be dissolved by decision of the National Committee of Moldova Red Cross.

Article 23

In order to abide by the Fundamental Principle of Unity, the following functions, exclusively, are attributions of the central governing bodies of Moldova Red Cross Society:

a. protection of Moldova Red Cross integrity, including the protection of the emblem;

b. relations with central public institutions and authorities;

c. international relations;

d. financial management of national programs;

e. set up of policies in all areas of activity;

f. responsibility for external sources of funds for national programs.

V. 2. Local governing bodies

Article 24

a. The supreme deliberative body of territorial governing is the Conference which consists in:

- Delegates elected within report meetings and primary organizations elections;

- Chairman of Red Cross branch;

- Director of Red Cross branch;

- Chairman of the review commission of Red Cross branch;

- Committee members elected at the previous Conference;

b. The Conference shall meet in ordinary session once every 4 years or in extraordinary session at the request of ½ of Conference members and is valid if the meeting part is ½ of its members.

c. Through the branch resolution, adopted by 2/3 of its members or at the request of the National Committee of Moldova Red Cross.

Article 25

The Conference has the following attributions:

a. to analyze the activity unfolded by the respective committees of Moldova Red Cross Society, audit commissions and establish norms for organization and conducting of activities at local level;

b. to analyze the ways in which the tasks from the Development Guidelines of Moldova Red Cross Society have been achieved;

c. to elect for a term of 4 years the governing bodies (committees) of the Red Cross branches;

d. to elect the chairman of the branch;

e. to elect the members of the branch Finance Commission;

f. to elect delegates for the General Assembly of Moldova Red Cross Society;

g. to emit decisions on local issues with the simple majority of votes.

Article 26

Honorary chairmen, paid Red Cross branch directors represent the National Society in front of local public authorities.

Article 27

The election for the territorial governing bodies of the Red Cross National Society is performed by an open or secret voting, depending on the decision of the Conference.

The decision is adopted by an open voting.

Article 28

a. Red Cross committees, 15-25 persons, including the branch chairman, are elected by the Conference with a simple majority of votes of present delegates and voting participants;

b. Red Cross committees exercise their functions during the period between Conferences;

c. Red Cross committees shall meet annually or how many times is needed and are deliberative if a simple majority of members is present at the meeting;

d. The voting (open or secret) is determined by the Committee;

e. The Committee’s decisions are valid, excepting the case foreseen by the article 24, point “c” (extraordinary convening), if a simple majority of those present are in favor of the decision.

Article 29

The attributes of the territorial committees:

a. To elect members of the Presidium in number of 5-7, including the chairman of Red Cross branch who is part of the office, with a majority of votes for a period of 4 years;

b. to execute the decisions of the General Assembly, Governing Board of the National Society and Conference’s decisions;

c. to determine the ways and methods of activity in order to meet the statutory objectives in correspondence with the local specifics;

d. to conduct, guide, support and check the activity of the local RC organizations;

e. to adopt concrete activity programs;

f. to discuss and approve the income and expenditure budgets, to present them to the Governing Board of the National Committee for further approval.

Article 30

a. Between the Committee meetings the activity of the branches is conducted by the Presidium;

b. Presidium meetings take place upon necessity, but not less that once in 2 months.

c. Presidium directs the activities and has the task to solve the current problems. The Presidiums have the responsibility to monitor the way the national programs are fulfilled at the respective levels and to promote Red Cross strategies in field.

d. Presidium meetings are valid only if 2/3 of the members are present;

e. Presidium’s decisions are adopted with a simple majority of votes of those present and participants of voting.

Article 31

The Finance Commissions activate at the level of the respective territorial organizations of the Red Cross. They control the finance management, the financial and material means, and other forms of income of the Red Cross and its correct distribution. Members of the Finance Commissions participate in the meetings of the respective Committees of Moldova Red Cross Society without the right to vote, to which they present information regarding their findings.

Article 32

Paid directors of Red Cross branches participate in the meetings of territorial and central governing bodies. Their attributions are similar to the Executive Director of Moldova Red Cross in relation to the territorial scale and subordinates to him from managerial point of view.

VI. Central Governing Bodies

Article 33

The central bodies of Moldova Red Cross Society are: General Assembly, National Committee, Presidium of the National Committee, the Finance Commission.

Organization and functioning of central governing bodies is set by the Statutes rules of application.

Article 34 General Assembly

Supreme deliberative body of Moldova Red Cross Society is the General Assembly, represented by the President of the National Society, Red Cross branches through its delegates with voting rights and invited (without the right to vote).

The representation of Red Cross branches in the General Assembly is proportional to the number of branch members and is determined by the Presidium of the National Committee.

Article 35

a. General Assembly meets in ordinary session every four years, in the place and on the date established by the National Committee's Presidium, which is announced two months beforehand.

b. The General Assembly can be convoked in extraordinary session:

- at the initiative of the President or Presidium if the National Committee approves it;

- at the request of ½ of General Assembly members;

- at the request of 2/3 of the National Committee.

Article 36

The General Assembly is chaired by the President of Moldova Red Cross Society or a member of Presidium.

- Meetings of the General Assembly are deliberative in the presence of 2/3 of the General Assembly members with voting rights;

- If the General Assembly does not meet the required number to carry out its activity, the members present decide another day (not more than 7 days) for convening the Assembly and the number required for the -Assembly to be valid is reduced to ½ members present to the Assembly;

- General Assembly adopts decisions by open vote or secret ballot as the delegates decide with a simple majority of those present and voting, except the article 72 (Dissolution of Moldova Red Cross Society);

- Each delegate is entitled to one vote.

Article 37

The competencies of the General Assembly of Moldova Red Cross Society are the following:

a. to examine and approve the activity report of the National Committee and the report of the central Finance Commission for the period after the previous General Assembly;

b. to debate and approve the Guidelines of Moldova Red Cross Society for the next four years;
c. to approve the Statutes and its modifications;
d. to deliberate on all the problems related to the financial executions for the previous period of four years and to approve its execution;
e. to deliberate on all the agenda issues and adopt decisions and resolutions related to the overall activity of Moldova Red Cross Society;
f. to elect by secret or open voting, as the delegates of the General Assembly decide, the president, vice-president, members of the National Committee and central Finance Commission;
g. to ensure that the Statutes corresponds to the tasks of the International Movement;

Article 38 The National Committee

The National Committee governs Moldova Red Cross Society between the sessions of the General Assembly.

Article 39

The National Committee meets in ordinary session once a year. It can meet in extraordinary sessions at the proposal of the Presidium, Moldova Red Cross Society's President or at the request of half of its members.

Article 40

The National Committee consists of:

a. president and vice-president;

b. members elected by the General Assembly from delegates who represent Red Cross branches, youth volunteers, representatives of institutions and organizations – Red Cross partners;

c. the National Committee is chaired by the president or other member of Presidium;

d. the mandate of the members elected in the National Committee lasts four years;

e. the total number of the National Committee members can be no more than 35 persons;

f. in case a member of the National Committee receives a high office position in the state power, he is obliged to seek the release from the National Committee.

Article 41

a. meetings of the National Committee are deliberative in the presence of 2/3 of its members;

b. in case the plenary session does not meet the necessary number of members for its work, present members decide to postpone it with maximum 7 days for convening the National Committee and the necessary number for the plenary to be valid is reduced to 1/3 from the National Committee members;

c. the decisions of the National Committee are adopted by open vote with a simple majority of votes of those present and voting. Each member is entitled to one vote.

Article 42

The competencies of the National Committee are the following:

a. to elect among the members of the National Committee members for the Presidium;

b. to analyze annually the ways in which the Development Guidelines of Moldova Red Cross Society have been achieved;

c. to examine and to approve the activity reports of the Presidium and of the Red Cross territorial organizations;

d. to present the activity report of Moldova Red Cross Society in front of the General Assembly;

f. to debate and vote the budget of the National Society and control its execution;

g. to decide the establishing or dissolving of the structural subdivisions of Moldova Red Cross Society, establishing up the respective territorial limits;

h. to develop collaboration relations with different governmental and non-governmental institutions that are interested in the humanitarian mission of the Red Cross;

i. to develop friendship and collaboration with the Red Cross and Red Crescent National Societies;

j. to establish the quantum of the member subscription;

k. to ensure the continuity of the activity and the priorities of the National Society;

l. to create committees and commissions necessary for the fulfillment of the tasks of Moldova Red Cross Society;

m. to create structures and elaborate the necessary strategies in order to reach the objectives of the National Society;

n. to establish, modify and approve the regulations necessary for the application of the present Statutes;

o. to award the title of "Member of Honor".

Article 43

The competencies of the National Committee transmitted to the Presidium are:

a. to provide effectiveness analyses of the National Society and its structural subdivisions in perspective;

b. to decide the convocation of the persons elected in the governing bodies of the Municipal Committees in case the present Statutes stipulations are encroached upon;

c. to elaborate and take decisions or to introduce the amendments necessary for reaching the objectives of the National Society;

d. to create structures necessary for reaching the objectives of the National Society;

e. to create committees or commissions necessary for fulfilling the tasks of the National Society.

Article 44 Presidium of the National Committee

The Presidium governs Moldova Red Cross Society between the reunions of the National Committee.

Article 45

As a governing body, the Presidium is made up of President, Vice-president, 7-9 members from Red Cross branches, youth volunteers and representatives of organizations with who the National Society is in cooperation. The President of Moldova Red Cross Society chairs the Presidium.

Article 46

Members of Presidium are required to place the interests of the National Society above all personal.

In case when a member of the Presidium is assigned a high position in the state bodies he/she is obliged to abandon the position of member of the Presidium.

Article 47

The Presidium meets every 2 (two) months or as may be deemed fit being convoked by the President or at the request of 2/3 of the Presidium members.

Article 48

The Presidium has the following attributions:

a. to govern and coordinate the activity and solve the current problems of the Moldova Red Cross Society between the sessions of the National Committee;

b. to ensure the application of the Development Guidelines of the Moldova Red Cross Society, of the national development programs and decisions adopted by the General Assembly and the National Committee;

c. to elaborate and approve documents that regulate the well-functioning of Moldova Red Cross Society and of its structural subdivisions;

d. to execute all the decisions that, according to the regulations of the present Statutes, do not belong to the General Assembly or to the National Committee;

e. to administrate the annual budget of incomes and expenditures and to control its execution;

f. to revoke the directors of branch committees in case they take decisions that contradict the provisions of present Statutes, decisions of higher bodies or other actions (inactivity) that may harm the National Society or at the request of resignation in writing;

g. to decide upon the procurement, sale and redistribution of the fixed goods of Red Cross;

h. to determine the recruitment policy of the personnel and volunteers;

i. to propose the quantum of the member subscription to the National Committee for examination;

j. to create committees, permanent or temporary commissions considered being necessary for reaching its objectives;

k. to adopt decisions regarding the foundation of pharmacies, canteens and shops for the persons with low incomes;

l. in exceptional cases it may prolong the terms of validity of all the elective organs for at most two months;

m. Presidium meetings are deliberative when 2/3 of members are present;

n. while practicing its attributions, the Presidium adopts decisions with the simple majority of votes;

o. to decide on the creation of the Presidium Bureau in the number of not less than 5 persons in order to solve urgent, but not the most important issues.

Article 49

Presidium Bureau

It meets as many times as needed between meetings of the Presidium and is valid if the meeting involved at least 3 members of the Bureau. It adopts decisions by a majority of open votes.

Article 50 President

The President ensures the governance and general supervision of the administration of Moldova Red Cross Society. He reports to the General Assembly if the National Society follows its main object and fulfils his functions according to the article 51 of the present Statutes. He acts under the authority of the General Assembly, of the National Committee and of the Presidium, directing the affairs of the National Society according to their decisions and ensuring the well functioning of the National Society.

The President can commission a part of his functions to the Vice-president.

Article 51

The functions of the President are:

a. to convoke and chair the sessions of the General Assembly, National Committee and Presidium;

b. to present to the General Assembly the general activities of the National Society;

c. to coordinate the activity of the organisms of the Red Cross National Society;

d. to represent the Red Cross Society at the national and international levels;

e. to supervise the reception, administration of the financial means of the National Society and received through external humanitarian programmes;

f. to fulfill any other function which is ascribed by the General Assembly, National Committee and the Presidium;

g. has the right of the first signatures on the financial documents of the National Society;

h. to conclude contracts on behalf of the National Society.

Article 52

The Mandate of the President is for 4 (four) years.

Article 53 Vice-president

The Vice-president assists the President to ensure the general supervision and the smooth running of the National Society’s activity.

The Mandate of the Vice-president is for 4 (four) years.

VII. Management of the National Society (Administration)

Article 54 Executive Committee

The Executive Committee of the National Committee activates in order to ensure the well-functioning of the National Committee, which operates in conformity with the Regulation.

Article 55

The Executive Director shall be appointed (based on competition) and dismissed by the Presidium on the recommendation of the President. The Executive Director is the full-time manager of the National Society. The Executive Director, who carries out his/her activity under the authority and supervision of the President and Presidium, has the following tasks:

a) To be responsible for the activities unfolded by the Moldova Red Cross Society, for the application of the general policy and of the directions established by the General Assembly, National Committee and Presidium;

b) To be responsible for the assigned responsibilities;

c) To make up the budgetary projects and financial reports;

d) To submit to the Presidium every half of the year or upon necessity reports regarding the activity of Moldova Red Cross;

e) To fulfill the function of secretary of the General Assembly, National Committee and Presidium;

f) To prepare, organize and participate, without voting rights, at the sessions of the General Assembly, National Committee and Presidium;

g) To propose for approval by the Presidium the number of persons for the executive committee of Moldova Red Cross;

h) In the performance of all obligations of service, Executive Director is obliged to inform the President of Moldova Red Cross on a regular basis;

i) To represent the National Society in the relations with tertiary parts and juridical instances on all the levels, inclusively reception, administration and use of means of the National Society;

j) To carry out other functions empowered to him/her by the Presidium or President;

Article 56 Central Finance Commission

The Central Finance Commission is a consultancy commission of Moldova Red Cross Society and consists of President and two volunteer members elected by the General Assembly for a period of four years.

Article 57

The functions of the Central Finance Commission are:

a. to assist the Moldova Red Cross Society in all the financial matters;

b. to comment on the administration and the investment of the available funds and to make recommendations to the General Assembly, the National Committee and the Presidium regarding any financial matters;

c. to assist the Presidium and the National Committee for the application and the implementation of the decisions of the General Assembly regarding the financial administration of the National Society;

d. to check out at the central and local levels the financial and administrative activities of the Red Cross, as well as the distribution of the humanitarian aid;

e. to report during the meetings of the National Committee on its activity.

Article 58

The Central Finance Commission unfolds its activity based on the legislation in force.

Article 59

The Members of the Central Financial Commission cannot be elected in the National Committee and Presidium, but can participate at the meetings with the right of consultative vote. The Central Financial Commission is led by its President.

VIII. Financial-administrative provisions

Article 61

The property of Moldova Red Cross Society consists in movable and immovable assets, as well as in any other assets in its property.

Moldova Red Cross Society, in the limits described by its functions and its activity’s object, purchases, holds, alienates and administrates any assets, as it may be deemed fit.

The financial and property resources of Moldova Red Cross Society proceed from:

a. annual dues;

b. financial resources with special destination from state and local budgets;

c. donations in any quantity and any form from its own members, state public bodies, juridical legal entities or physical persons;

d. the profit from the National Society’s activities (lotteries, charitable auctions);

e. dividends from bank deposits;

f. renting of its own available spaces, of the vehicles and other goods within the limits of the law;

g. means obtained for the provision of services to individuals and legal entities;

h. the receipt of any immovable assets in order to use them to its own benefit or to obtain profit;

i. incomes from national fundraising campaigns to support projects and programs;

j. revenues established by Law on the state budget for payment of the membership fees to the International Federation of Red Cross Red Crescent Societies and International Committee of Red Cross;

k. revenues from the budgets of local and central public authorities;

l. profit arising as a result of entrepreneurial activity permitted by legislation in force;

m. value of consideration stamps affixed to the show tickets and sporting activities;

Decision on the purchases and alienation of assets shall be adopted by the Presidium of the National Committee.

Article 62

Moldova Red Cross Society as a voluntary organization for humanitarian aid, auxiliary to public authorities in situations of armed conflict or natural disaster, is entitled to all tax incentives and privileges conferred by the law of the country.

Article 63

Moldova Red Cross Society must not accept resources proceeding directly from the activities that contravene to the Fundamental Principles of the International Movement of Red Cross Red Crescent Societies.

The National Society has the right to establish and to administrate reserves, insurances or any funds when considered necessary to the staff’s benefit and for the well functioning of its own activities.

Article 64

The financial discharge starts on January 1st and ends on December 31st of each year.

Article 65 Audit

In order to ensure transparency and management of budget execution, Moldova Red Cross Society organizes annual external audit of financial statements by using the services of a financial auditor, person or entity, in accordance with state laws.

Article 66

All the contributions to Moldova Red Cross Society constitute voluntary and irrevocable donations.

IX. International cooperation, relations with other members of the International Movement of Red Cross Red Crescent Societies

Article 67

In accordance with the Seville Agreement concerning the international actions of the components of the International Movement of Red Cross Red Crescent Societies, Moldova Red Cross Society participates in actions of solidarity in the light of available resources and develops cooperation relationships with the International Committee of Red Cross, International Federation of Red Cross Red Crescent Societies and other Red Cross or Red Crescent National Societies.

Article 68

Moldova Red Cross Society as a member of the Federation has the following rights:

a. to be represented and participate at the works of the General Assembly having equal rights with other National Societies;

b. to candidate for any official or consultative body;

c. to request the Federation to represent it among other international organizations;

d. to submit on its behalf or on behalf of a group of member societies proposals in front of the General Assembly or other governing bodies;

Article 69

Moldova Red Cross Society as a member of the Federation has the following obligations:

a. to support the Federation to meet its objectives and to apply the resolutions adopted by the General Assembly and Council of Delegates;

b. to ensure the respect of the Fundamental Principles of the Movement by all Red Cross organizations;

c. to pay the annual Federation membership in the amount adopted by the General Assembly.

X. Final provisions

Article 70

The National Committee establishes and modifies the frame for the application of the present Statutes.

Article 71

The present Statutes are unique for all the organizations of the Moldova Red Cross Society and may not be modified with the exception of the decision of the General Assembly voted by the simple majority of those present.

Article 72

The dissolution of Moldova Red Cross Society may be pronounced only through the decision of the General Assembly of the National Society voted by a majority of the three-fourths.

Article 73

The present Statutes take effect on the date of adoption.
